Eurocash Group

An enterprise of such a size as the Eurocash Group needs vision, ongoing control and
objective supervision. Performing these functions in turn requires managerial talent,
specialist knowledge and extensive experience.

That is why both the Management Board and the Supervisory Board are composed
of very carefully selected people - each of them an expert in their field.

Management Board

Luis
Amaral

Member of the Board

He has over 20 years of management experience, which he has gained in several companies and countries. He started his professional career as an intern with Unilever Portugal, where he worked for over 5 years, occupying various managerial positions in sales and marketing departments.

Luis Amaral came to Poland in 1995, where, as the General Director of Jeronimo Martins, he built the company until 1999. During this year, he was promoted to the position of Member of the Executive Committee of Jeronimo Martins Holding in Portugal, but a few months later he made the decision to move his professional career in a different direction. In South America, as a Partner with the Antfactory investment fund, he began his activity on the markets of Brazil, Mexico and Argentina.

In 2003 he returned to Poland, where he gathered a team to buy Eurocash from Jeronimo Martins. Today, the Eurocash Group is the largest distributor of food and other fast moving goods in Poland.

Rui
Amaral

Member of the Board

In the years 1981-1984 he was a Finance Director. Then from 1985 to 1989 he was employed at Sanipec, including as the Operations Director of the Veterinary Medicines Department.

In 1989, he joined the Jeronimo Martins Portugal group, where he was the Hypermarket Director, Operations Director, Feira Nova General Manager, then General Director of Jeronimo Martins Retalho and Executive Director of Jeronimo Martins Portugal, responsible for management of Feira Nova hypermarkets, Pingo Doce supermarkets and cash&carry Recheio.

In 2003 he was the General Manager at the Cintra Group. In May 2004, he joined the Eurocash Group.

Katarzyna
Kopaczewska

Member of the Board

She graduated from Foreign Trade at PSSiJO in Warsaw. She started her first job at Johnson & Johnson Poland sp. z o.o., where she worked from 1989 to 1997 and in the last period as Human Resources Manager. In 1997, she moved to Poznań to become the HR Director to take up the challenge of expansion on the Polish market of hypermarkets, wholesalers and discount chains for Jeronimo Martins Dystrybucja. In the last period of her work for Jeronimo Martins she was a Member of the Board - HR Director. In 2003, she took the position of the Corporate Director for Personnel at ZF Polpharma S.A. From January 1, 2004, she is a Member of the Board with the Eurocash Group.

Pedro
Martinho

Member of the Board

A graduate in Management from the ISCTE University of Lisbon. He started his professional career in 1994 at Jeronimo Martins in Portugal, where he worked until 1996, and in the last period as Head of the Feira Nova Hypermarket Stations. From 1997 to 2001 he worked for Jeronimo Martins in Poland, where he became the Director of the Eurocash Cash&Carry Department and Jumbo hypermarkets. Then in 2002 he worked for the telecommunication company Oniway Portugal as Sales Director. In March 2003, he decided to return to Poland, joining the team that bought Eurocash Cash&Carry from Jeronimo Martins. From the beginning of the Group's activity he has been a board member of Eurocash S.A.

Arnaldo
Guerreiro

Member of the Board

After graduating in economics, he began his professional career at Coopers & Lybrand Portugal, where he worked from 1990-1994, and during the last period as an auditor. Later, from 1994 to 1996, he was employed at Jeronimo Martins Portugal as a Financial Controller. In 1996 he came to Poland, where he worked until 2003 at Jeronimo Martins Dystrybucja, in the last period as a Member of the Board – as Financial Director of Jeronimo Martins Dystrybucja and General Director of Eurocash. He joined the Eurocash Group in May 2004 as a Member of the Management Board.

Przemysław
Ciaś

Member of the Board

He graduated from IT studies at the AGH University of Science and Technology in Krakow. During the years 1996-2008 he worked as a consultant in the field of IT and management successively at Comarch and Accenture. Among others, he dealt with implementation of projects for clients from the FMCG sector for European markets. He has been working at the Eurocash Group since 2008.

Jacek
Owczarek

Member of the Board

He graduated from the Warsaw School of Economics in the field of Finance and Banking. Currently, he is a Member of the Supervisory Board of Magellan S.A. Before starting employment at the Eurocash Group, he was the CFO CEE, Member of the Management Board and Member of the financial management team in Europe with Sanitec Koło (part of the Sanitec Group). In previous years, he worked in companies from the Enterprise Investors portfolio. He was, among others, Financial Director at Magellan S.A., he was also CFO, CEO and Member of the Board at Messenger Services STOLICA.

Supervisory Board

João
Assunção

Chairman of the Supervisory Board

He has a university degree with a specialization in Business Management. In 1990 he graduated from UCLA University in Los Angeles, USA. In the years 1990-1994, he was an Assistant Professor at the University of Columbia in New York, USA. Since 1993 he was a professor at the Portuguese Catholic University of Lisbon (Universidade Católica Portuguesa), where in 1996-2001 he was the dean of the Faculty of Management and Economics. In the years 2001-2002 he was the Managing Director of the Telecel Vodafone Foundation, and from 2002 to 2004 he was an economic adviser to the Prime Minister of Portugal. On October 13, 2004, he was appointed a member of the Supervisory Board of Eurocash S.A.

Dr Hans
Joachim Körber

Member of the Supervisory Board

He graduated from the Faculty of Brewery and obtained a PhD from the Technical University of Berlin. He worked in the RA Oetker Group in various managerial positions. In 1985 ccommenced work at Metro SB-Großmärkte, where he held managerial positions in a number of companies belonging to the Metro group in Germany and abroad. With the establishment of Metro AG in 1996, he joined the Management Board of the Company, which he managed from 1999-2007 as the President of the Management Board. Currently, he is a member of supervisory boards of a number of international companies.

Dr Alicja
Kornasiewicz

Member of the Supervisory Board

A graduate of Harvard Business School in Boston. She is a Doctor of Economics, expert in investment banking, capital markets and privatization. She chaired supervisory boards of such companies as: Bank Pekao S.A., Bank BPH S.A., Netia S.A., NFI Empik Media and Fashion, Bioton S.A. and Pioneer Pekao Investment Management S.A. She was a member of supervisory boards, including UnicreditBank Hungary, Jeronimo Martins Dystrybucja, Telekomunikacja Polska TPSA and the Polish State Agency for Privatization. From April 2018 she has been a member of the Supervisory Board of the Eurocash Group. She is a longtime activist for equal opportunities for women in business, both in Poland and abroad. In 2015 she was honored by President Bronisław Komorowski with the Knight's Cross of the Order of Polonia Restituta for merit in helping the country's economic development.

Francisco José Valente
Hipólito dos Santos

Member of the Supervisory Board

He has a university degree with a specialization in Business Management. In 1984 he graduated from the Portuguese Catholic University of Lisbon (Universidade Católica Portuguesa). From 1999 to 2003 he was a board member of Barclays Bank Portugal. In the years 2003-2006 he managed the Marketing Department in Banco Espirito Santo, S.A., and in 2007-2011 he was the Director in the Savings Department of this bank. In 2011-2012, he was the Managing Director at Banco BEST S.A. Subsequently, in 2013, he took the position of the Non-Governing Director, as well as the position of adviser to the board for international affairs for Banco Espirito Santo S.A.

Jacek
Szwajcowski

Member of the Supervisory Board

He graduated from the Faculty of Mechanical Engineering of the Lodz University of Technology and has over 21 years of management experience in the pharmaceutical sector. He is the Founder and President of the Management Board of Pelion Healthcare Group, a company operating in retail sales and hospital supplies. Since 2000, he has been a participant in the annual meetings of the World Economic Forum in Davos. From 2001, he is also a member of the board of the Polish Business Council. In 2005 he became a member of the international Forum of Young Global Leaders organization. He is the initiator of the Dbam o Zdrowie Foundation and the Pharmacy Museum in Lodz, as well as the author of a monograph on Polish pharmacies.
